A party is taken to have committed an event of default if they are insolvent or default under the deed and fail to remedy the breach within 30 days of receipt of written notice from another party requiring it to do so.

We have agreed that if Goodman breaches any of its obligations under the deed, other than any breach caused or contributed to by delay or timeliness, our only claim will be in damages against Goodman and we will not be entitled to terminate the deed, except that we may terminate the deed by notice in writing to the other parties and after consultation with the other parties if practical completion of the construction of the new facility is not achieved on or before a specified sunset date.

If the deed is validly terminated by GE arising from a breach by us, in addition to any other causes of action against us, we must pay damages as a result, including compensation for lost rent and outgoings due to the lease not proceeding.

If we validly terminate the deed, as a result of a breach by Goodman, then in addition to any other causes of action we may have, Goodman must pay damages as a result, including compensation for consequential loss due to the lease not proceeding.
